M&A Due Diligence & Acquisition

M&A / ACQUISITION GOVERNANCE

What must be resolved before an acquisition can be approved after due diligence?

Due diligence provides information about a target. It does not decide whether an acquisition should be approved.

A material finding can reach far beyond its original workstream. New information from Legal or Technology can change an integration assumption, affect synergies and valuation, require different contractual conditions and ultimately change the basis on which the competent authority is expected to decide on the transaction.

In this illustrative case, Trusted Industrial Systems SE is considering the full acquisition of the fictional Valeon Motion Controls GmbH. The original transaction assumes an enterprise value of €600 million. Shortly before internal signing approval, Technology and Legal Due Diligence identify that a third-party software licence required for a material part of the target business is subject to change-of-control consent and that its long-term commercial terms have not yet been contractually fixed.

The finding does not affect only a Legal or Technology state. It changes the technical fallback, integration plan, synergy case, valuation and the question of which deal terms can adequately reflect the known state.

The relevant question is therefore not only: What due-diligence findings exist?

Do findings, known gaps, valuation, assumptions, deal terms, integration, external constraints and approval authority form a sufficiently defined Decision State for this exact acquisition?

DUE DILIGENCE ≠ ACQUISITION APPROVAL

I / THE ACQUISITION DECISION

Due diligence informs the decision. It does not make it.

01

The deal is concrete

Trusted Industrial Systems SE and Valeon Motion Controls GmbH are entirely fictional. Trusted Industrial Systems is presented as a large European industrial group; Valeon develops industrial motion-control hardware, embedded software and digital control platforms.

02

The strategic thesis remains fundamentally intact

  • 01Expand the existing automation portfolio
  • 02Access Valeon's customer base and enable cross-selling
  • 03Integrate Valeon's software into the buyer's platform
  • 04Support joint product development and operational synergies

The case does not state that due diligence proves the acquisition is a bad idea. A still-attractive strategic thesis meets a transaction configuration whose economic and operational basis has changed.

Responsibility and authority are separate

Major acquisitions may be subject to defined board, committee or other corporate approval authority. The exact authority depends on the applicable legal and enterprise-governance framework; the illustrative Trusted Industrial Systems model assigns the signing decision to a Group Investment Committee.

Signing is not Closing

For this scenario, the transaction is assumed to be subject to external merger-control review. The Group Investment Committee may decide whether the SPA may be signed. It cannot waive an applicable regulatory standstill obligation or authorise implementation before required clearance.

06

External hard constraints remain outside the Business Decision Space

Price, scope, consideration structure, integration sequence, risk allocation and contractual conditions may be changeable within the enterprise decision. Applicable merger-control, foreign-subsidy or other mandatory constraints remain external to that business authority.

Primary source: EU Foreign Subsidies Regulation 2022/2560

INTERNAL ACQUISITION AUTHORITY ≠ AUTHORITY OVER EXTERNAL HARD CONSTRAINTS

II / FROM DUE DILIGENCE TO DECISION STATE

A finding becomes decision-relevant when its effect on the transaction becomes visible.

07

Much is already resolved

  • 01Buyer, Target, 100% perimeter and proposed structure
  • 02Proposed €600m Enterprise Value and historical financials
  • 03Strategic thesis, commercial findings and original synergy case
  • 04Internal roles, approval authority and external regulatory conditions

Decision Space v1 is not blocked because due diligence produced no information. Most of the Decision State is already structured.

08

The material due-diligence finding

Valeon's core software platform partly relies on a proprietary third-party runtime. The illustrative licence agreement contains a change-of-control provision: the ownership change requires the licensor's consent, while the long-term commercial terms following that change have not yet been contractually fixed.

09

A finding is not yet a deal breaker

  • 01The finding does not establish whether the licensor will consent.
  • 02It does not establish the future licence economics or actual migration cost.
  • 03It does not determine customer reaction, valuation or approval.

Forward-looking uncertainty is not an information failure

At signing, the organisation cannot know the actual migration duration, cost, customer reaction, technical complexity or realised synergies. A robust decision does not require that uncertainty to disappear; it requires relevant uncertainty to be visible, characterised and treated in valuation, conditions and authority.

III / WHY v1 CANNOT CLOSE

↓

DECISION SPACE v1 — NOT FINALISABLE

23

Why 'Due Diligence incomplete' would be too broad

Most workstreams are already well advanced and many states are resolved. The blocker arises because one identified dependency changes several connected decision dimensions that do not yet form a new common Deal State.

25

Why a lower price alone may not resolve the blocker

A lower price does not bind Licence Consent, Licence Economics, Migration, Customer Retention, Integration Sequence, contractual conditions or Authority Scope.

LOWER PRICE ≠ RESOLVED ACQUISITION STATE

26

Contractual Allocation is not Factual Resolution

Escrow or Indemnity may redistribute economic exposure while the underlying Licence or Technology finding remains. Later review must distinguish factual resolution, contractual allocation and uncertainty consciously accepted by authority.

27

What SEAL does not say here

  • 01The deal is economically wrong or €600m is objectively too high.
  • 02The target is overvalued or migration will fail.
  • 03The licensor will refuse consent or the acquisition is legally impermissible.
  • 04Every due-diligence question must be fully resolved before a decision.

The states required for Decision Space v1 do not yet form a sufficiently defined common Signing State.

28

A blocker is not a deal veto

A conventional approval workflow might display PENDING or REJECTED. Neither explains what would need to change for a robust signing decision to become possible again. This is where SIMULATION begins.

  • 01SIMULATION does not recommend an acquisition or determine a purchase price.
  • 02SIMULATION does not approve a deal or replace due diligence.
  • 03SIMULATION does not replace an Investment Committee or remove external hard constraints.
See how SIMULATION, BRIDGE and SEAL separate exploration, admissibility and finality

IV / RESOLVE OR REMODEL THE DEAL

A blocked acquisition Decision Space can be resolved within its current structure — or deliberately remodelled as another transaction.

29

Path A: Resolve Current Space

What would need to be clarified or materially satisfied for this exact Decision Space v1 to be reassessed?

  • 01100% acquisition remains unchanged
  • 02€600m transaction economics remain unchanged
  • 03Cash-at-Closing structure and acquisition perimeter remain unchanged

30

Path A: additional Evidence

  • 01Binding Change-of-Control Consent and long-term Licence Terms
  • 02More precise Migration Plan and validated technical dependencies
  • 03Customer-Retention Sensitivity and affected revenue exposure
  • 04Updated Valuation, Synergy Case and Downside Sensitivities
  • 05Updated Integration Timeline and dependencies

31

Path A may also examine interventions inside the existing Space

  • 01Additional Contract Protection
  • 02Clearer Consent and Signing Conditions
  • 03Expanded Pre-Signing Evidence and Migration Assurance
  • 04Additional Independent Challenge

If the material transaction configuration remains unchanged, this can remain CURRENT-SPACE RESOLUTION.

32

Path A has no preferred outcome

Outcome

v1 can be reassessed

Outcome

A2 — Evidence does not support v1

Meaning

Outcome

A3 — Current Space not recoverable

Meaning

SIMULATION does not optimise for Deal Completion.

33

Path B: Remodel the Acquisition Decision Space

What would need to change about the transaction itself for another rule-bound Decision Space to exist?

The question is not how to get the €600m deal approved anyway. It is which different acquisition configuration creates different Evidence, Assumption, Condition, Economics and Authority States.

A DIFFERENT DEAL ≠ LESS GOVERNANCE

39

Authority may change as well

A material change to value, consideration structure, conditions, risk allocation, perimeter or future payment events may require a renewed Authority Decision. The Group Investment Committee must approve the new Deal State itself.

v1 APPROVAL AUTHORITY ≠ AUTOMATIC v2 APPROVAL

40

Hard Constraints remain unchanged

The Remodel Candidate does not change external merger-control requirements, other mandatory legal requirements or the authority of external institutions.

SPACE REMODEL ≠ REGULATORY WAIVER

When Transaction v1 cannot close, SIMULATION can examine how to resolve the current deal or explore another transaction configuration. The Candidate remains exploratory until a new Space is materialised and BRIDGE permits a governed transition.

Evidence may be inherited, but not blindly

Target Identity, historical financials, Commercial and Legal DD, the original Licence Agreement, the Change-of-Control Finding, technical architecture, Regulatory Analysis and strategic thesis may remain relevant. v2 additionally needs binding Licence Consent, Transitional-Licence Terms, updated Valuation, new SPA terms, Escrow Mechanics, a Contingent-Consideration Formula, Migration Programme, Milestones and a new Authority Decision.

EVIDENCE INHERITANCE ≠ AUTOMATIC VALIDITY

47

Uncertainty changes as well

v1 asks whether the original €600m transaction is sufficiently defined despite unresolved Licence Continuity. v2 asks whether the staged Economic and Migration structure is sufficiently defined under its Conditions. New uncertainty arises around Migration Slippage, Customer Retention, actual costs, Milestone Measurement, Integration Delay and future Contingent Payments.

What SEAL holds for the acquisition

SEAL can hold the Transaction Identity, Target, Perimeter, SPA Version, Economic Terms, Due-Diligence State, relevant Findings, known Gaps, Valuation Basis, Assumptions, Integration Conditions, Alternatives, Residual Uncertainty, Approval Authority and External Conditions of the governed signing decision.

53

What SEAL explicitly does not claim

  • 01Valeon is objectively worth €510m or €570m.
  • 02The deal will create value, synergies will materialise or migration will succeed.
  • 03Customers will remain or due diligence was complete.
  • 04The Licence Agreement is legally safe, regulatory clearance is granted or the SPA is unassailable.
  • 05No future loss will occur.

SEAL holds the governed Decision State at that time. It does not assume the economic or legal decision.

VI / LATER REVIEW

After the acquisition, not only the deal must remain visible. The decision basis at the time must remain readable.

54

Transaction files alone do not automatically reconstruct the Decision State

  • 01Virtual Data Room and DD Reports
  • 02Legal Advice and Financial Model
  • 03Board Papers, SPA and Escrow Agreement
  • 04Emails, Meeting Minutes and Integration Plan

These records do not automatically connect which version applied, which findings were known, which assumptions supported valuation, which gaps remained consciously open, which Deal State was blocked and which Authority acted on which version.

The problem is not only preserving documents. It is preserving the Decision State at the time.

55

T0: What was true at signing?

  • 01Which transaction version, perimeter and valuation applied?
  • 02Which DD Reports and Licence Finding were relevant?
  • 03Which information was missing, and which numbers were Facts, Estimates or Assumptions?
  • 04Which Integration Thesis and Alternatives applied?
  • 05Why was v1 blocked and which v2 configuration emerged?
  • 06Who approved exactly v2, and which external Conditions remained open?

Later review begins after signing. Traceability must be secured while the decision is being formed.

56

T1: Which questions may arise later?

  • 01Which deal version was originally submitted for approval?
  • 02When was the Licence Dependency and Change-of-Control Requirement identified?
  • 03Which information remained unavailable, and which €34m was an Estimate?
  • 04Why did the original €600m valuation no longer support the new Evidence State in the same way?
  • 05Why could Decision Space v1 not close, and which alternatives were examined?
  • 06Why was the Contingent / Staged Structure taken forward?
  • 07Which v1 Evidence remained valid, which new Evidence was necessary and who approved exactly v2?

Why could the original €600m deal not be finalised on its original decision basis, what changed in the Transaction Space, and on which new Evidence, Assumption, Condition and Authority basis was the later signing decision made?

Discuss later-reader, evidence and disclosure questions in the Institutional Dialogue

57

Known Gap and later Outcome must not be merged retrospectively

If migration later succeeds, that does not mean the original v1 State was sufficiently resolved at T0. If migration later fails, that does not automatically mean the T0 decision was already unreasonable.

60

Real authority remains outside Epistemis

  • 01Epistemis does not perform Financial or Legal Due Diligence.
  • 02Epistemis does not independently value the Target or set a correct purchase price.
  • 03Epistemis does not recommend whether the company should be acquired.
  • 04Epistemis does not decide whether a finding is material enough to terminate a deal.
  • 05Epistemis does not independently interpret applicable law or replace Investment, Board or Signing Authority.
  • 06Epistemis does not grant regulatory clearance.

Epistemis preserves the governed basis on which the competent authority acted.

61

Why this case goes beyond VDRs, Deal Trackers and Approval Workflows

Companies already use Virtual Data Rooms, DD Reports, Financial Models, Deal Trackers, Board Portals, Contract Management, Approval Workflows, Minutes and Audit Logs. Epistemis does not replace them.

The relevant question is how Deal Identity, Findings, known Gaps, Estimates, Assumptions, Valuation, Integration, Alternatives, Deal Terms, external Conditions and Authority connect into the Decision State on which signing is approved.

62

The Epistemis mechanism in four statements

  • 01A blocker explains why the current Acquisition Configuration does not yet form a finalisable Decision State.
  • 02SIMULATION examines what is missing to resolve the current deal or how another transaction configuration changes Requirements, Evidence, Assumptions, Economics, Conditions and Authority.
  • 03BRIDGE examines which results from exploration may return into a governed new Decision Space while preserving v1.
  • 04SEAL holds only the concretely bound Decision State whose finalisation conditions are satisfied; an open Required State keeps finality blocked.

This is not an M&A recommendation system. It is Decision-State infrastructure for a liability-exposed acquisition decision.

SOURCES / METHOD

Source and methodology note

Real domain and institutional context

The domain reality of this dossier is grounded in the G20/OECD Principles of Corporate Governance, the EU Merger Regulation, where relevant the EU Foreign Subsidies Regulation, and publicly available acquisition agreements as practical examples of mechanisms such as Escrow, Indemnification, Purchase-Price Adjustments, Covenants, Conditions and Contingent Consideration. These sources support the general domain context. They do not define Epistemis concepts.

Illustrative scenario

Trusted Industrial Systems SE, Valeon Motion Controls GmbH, all company and product descriptions, financial values, synergies, licence dependencies, estimates, valuation ranges, roles, committees, consideration components, licence periods, milestones and timelines are entirely illustrative. They do not describe a real acquisition, company, due-diligence finding or universally prescribed M&A governance structure.

Epistemis modelling

Decision Space, Decision State, v1/v2, blocker, Current-Space Resolution, Decision-Space Remodel, Space Remodel Candidate, Evidence Inheritance, Impact Diff, SIMULATION, BRIDGE, SEAL, T0/T1 and State Preservation are Epistemis concepts. They are not terminology defined by the OECD, the European Commission, the EU Merger Regulation or ordinary M&A contracting standards.

Which acquisition decision would your organisation need to explain later?

An Enterprise Pilot starts with one clearly bounded liability-exposed Acquisition Decision and defines Transaction Identity, authoritative Due-Diligence Sources, material Findings, known Gaps, Fact / Estimate / Assumption classes, Valuation States, Integration Assumptions, Deal Conditions, Alternatives, external Hard Constraints, Approval Authority, blockers, permissible Remodel components, Evidence Inheritance, Change Triggers and later Reader Questions.
